We are pleased to announce that we advised the majority shareholders of the public company Małkowski-Martech S.A. in an M&A transaction in which ASSA ABLOY MERCOR DOORS Sp. z o.o. (belonging to the Swedish Assa Abloy capital group) acquired from the three majority shareholders the controlling stake in Małkowski-Martech S.A.
As a result of the transaction, Małkowski-Martech S.A. will be incorporated into the Assa Abloy capital group.
Małkowski-Martech S.A. is one of the leaders in the Polish passive fire protection market. It is recognised for its reliability, solidity and the quality of its innovative fire protection solutions.
The Assa Abloy capital group is a recognised global brand and a leader in door security and smart lock systems.
The range of services provided by the Law Firm comprised comprehensive transaction advisory, including support for the company during due diligence, transaction structuring and advice on the share purchase agreement and additional agreements concerning the transfer of intellectual property rights (patents, utility models) to the Assa Abloy capital group.
The total value of the transaction with additional agreements exceeded PLN 50 million.
